An Antitrust Review of a Bayer-Monsanto Merger

In this report, we review a potential merger between Bayer and Monsanto under the principal U.S. antitrust statute for mergers, section 7 of the Clayton Act. We find from the publicly-available data that a Bayer-Monsanto merger is presumptively anticompetitive. The merger would: • Increase concentration in already concentrated industries for genetic traits, seed, and herbicides. For example, Bayer-Monsanto post-merger would account for approximately 70 percent of the U.S. acreage for cotton, with similar or higher shares in different regions of the U.S.
